9. Binding Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW CERTAIN LEGAL DISPUTES MAY BE RESOLVED AND MAY LIMIT THE RIGHT TO HAVE THOSE DISPUTES DECIDED IN COURT.
(a) Application of the Arbitration Agreement
To the extent permitted by applicable law, disputes arising out of or relating to your use of The Bossy Kitchen, these Terms, or your relationship with The Bossy Kitchen LLC will be resolved through binding arbitration rather than through ordinary court proceedings.
This agreement applies to The Bossy Kitchen LLC and, where legally applicable, its vendors and service providers.
Two exceptions apply:
- Either party may pursue an eligible individual claim in small claims court.
- Either party may seek appropriate court relief involving infringement or misuse of intellectual property rights, including copyrights, trademarks, and trade secrets.
Where legally permitted, a claim subject to this agreement must be initiated within one year after it arises. This limitation does not apply where applicable law prohibits shortening the filing period.
The agreement is intended to cover eligible disputes arising before or after the effective date of these Terms, but only to the extent such application is lawful and enforceable.
Except as expressly provided for batch arbitration below, disputes subject to arbitration must be pursued individually rather than as class, collective, or representative proceedings.
The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement to the extent applicable.
Nothing in this agreement prevents you from consulting an attorney.
(b) Informal Resolution and Arbitration Process
Before initiating arbitration, the person bringing a claim must send a written notice describing the dispute.
The notice should include:
- The claimant's name and contact information.
- A description of the legal claim.
- The relevant facts and dates.
- Details of any transactions or interactions involved.
- The remedy or resolution requested.

Both parties agree to attempt to resolve the dispute informally and in good faith.
If the dispute has not been resolved within 30 days after receipt of the notice, either party may initiate arbitration.
Arbitration will be administered by JAMS, an independent dispute-resolution organization, under its applicable rules.
Claims and counterclaims involving less than $250,000, excluding attorneys' fees and interest, will generally be handled under the applicable JAMS Streamlined Arbitration Rules.
Other claims will generally be handled under the applicable JAMS Comprehensive Arbitration Rules.
These procedures are subject to any applicable JAMS consumer arbitration standards.

If JAMS is unable to administer the arbitration, the parties will seek to agree on another appropriate arbitration provider.
Arbitration may take place remotely, through written submissions, or at a mutually agreed location, subject to applicable law and arbitration rules.
An arbitration award may be entered and enforced by a court with appropriate jurisdiction.
Settlement offers, offers of judgment, and any related allocation of costs will be governed by applicable law and the arbitration provider's mandatory rules.
(c) Arbitration Fees
Filing, administrative, hearing, and arbitrator fees will be allocated according to applicable law and JAMS rules, including any mandatory consumer arbitration standards.
Where the JAMS Consumer Minimum Standards apply, a consumer initiating arbitration will not be required to pay more than the applicable consumer filing fee, and The Bossy Kitchen LLC will bear the remaining fees required of the business under those standards.
If a consumer qualifies for a fee waiver or other protection, those requirements will be respected.
Attorneys' fees or costs may be awarded only when authorized by applicable law and the governing arbitration rules.
(d) Authority of the Arbitrator
Subject to any matters that applicable law reserves for a court, the arbitrator will determine disputes concerning the interpretation, application, and enforceability of this Arbitration Agreement.
The arbitrator may resolve legal claims, determine liability, award monetary damages, and grant other remedies available under applicable law.
The arbitrator will issue a written decision identifying the essential findings and conclusions supporting the award.
The decision will be final and binding, subject to any rights of review provided by applicable law.
(e) Waiver of Jury Trial
To the extent permitted by applicable law, both parties agree that disputes covered by this Arbitration Agreement will be decided through arbitration rather than through a trial before a judge or jury.
Arbitration is generally conducted before an independent arbitrator, and judicial review of arbitration decisions is limited.
Exceptions described in subsection (a) remain applicable.
(f) Waiver of Class or Representative Actions
Except for the batch arbitration procedure described below, disputes covered by this agreement must be brought on an individual basis.
Neither party may pursue claims as a representative of a class or collective proceeding where a valid and enforceable waiver applies.
If this class-action waiver is determined to be unenforceable in a manner that prevents individual arbitration, the affected claims will proceed in a court with appropriate jurisdiction rather than through class arbitration, unless applicable law requires otherwise.
(g) Batch Arbitration
If 50 or more substantially similar individual arbitration demands are filed against The Bossy Kitchen LLC within approximately 30 days, or within another closely related period, the parties agree to request coordinated administration by JAMS.
Demands may be considered substantially similar when they arise from the same or closely related events and involve similar legal questions and requested relief.
Where legally permissible and accepted by JAMS, these demands may be administered through a consolidated batch procedure.
If a single proceeding is not practical or equitable, demands may be grouped into smaller batches, ordinarily involving at least 20 matters per batch where practical, with a remaining group if necessary.
The parties agree to cooperate in good faith with JAMS concerning appropriate batch procedures.
Any disagreement concerning the application of batch arbitration will be resolved in accordance with applicable law and the arbitration provider's rules.
This provision does not independently authorize a class action or representative arbitration.
(h) Severability
If a provision of this Arbitration Agreement is found invalid or unenforceable, that provision will be separated from the remaining agreement to the extent permitted by law.
The remaining provisions will continue to apply unless the invalid provision prevents enforcement of the arbitration agreement as a whole.
The special rule concerning the class-action waiver in subsection (f) will apply where relevant.
(i) Survival
To the extent permitted by applicable law, this Arbitration Agreement will continue to apply to covered disputes even if a visitor stops using the website or the relationship between the parties ends.
(j) Modifications
The Bossy Kitchen LLC may modify this Arbitration Agreement when legally appropriate.
A material change will not apply retroactively to an individual dispute for which a valid written notice was already submitted before the modification took effect.
Any additional notice or agreement required by applicable law will be provided.
10. Consent to Data Collection
Our Privacy Policy is incorporated by reference into these Terms and explains how The Bossy Kitchen LLC, its advertising partners, vendors, and service providers collect, use, and disclose information associated with visits to the website.
By using the website, you acknowledge that these data practices are described in the Privacy Policy.
Where applicable law requires affirmative consent for particular processing activities, such consent must be obtained separately through an appropriate mechanism. Merely visiting the website does not replace legally required consent.

To the extent permitted by applicable law, the total aggregate liability of The Bossy Kitchen LLC and the vendors or service providers covered by this provision for claims arising from the website will not exceed the greater of:
(a) Any amount paid or payable by the claimant to Raptive in connection with the website during the six months preceding the event giving rise to the claim; or
(b) One hundred US dollars ($100).
These limitations are intended to apply regardless of whether a claim is based on contract, negligence, another tort, statute, or another legal theory, and whether the possibility of damages was known or foreseeable.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or removes non-waivable rights or remedies available under applicable law.
12. Governing Law
Except where applicable law provides otherwise, these Terms are intended to be governed by the laws of the State of Minnesota, United States.
The Arbitration Agreement in Section 9 is also subject to the Federal Arbitration Act where applicable.
Any dispute that is not subject to enforceable arbitration will be handled by a court with appropriate jurisdiction under applicable law.
Nothing in this section overrides mandatory legal protections that cannot be waived through website terms.
13. Changes to These Terms
The Bossy Kitchen LLC may update these Terms and Conditions to reflect changes in website operations, services, business practices, or legal requirements.
Updated Terms will be published on this page with a revised date.
